International Equivalent of UCCs and Other Due Diligence Searches and Filings

This 60 minute webinar will be given twice on September 14th: Once at 10:30 am EST and again at 2:30 pm EST. It will provide practical knowledge and offer best practices to the legal professional in the following areas:

What you need to know about searching for and securing assets outside of the United States

Knowing what types of laws similar to the Uniform Commercial Code Article 9 exist in countries outside the United States and how to search for secured assets as well as the processes to secure assets in those countries is critical to protecting assets and interests in today's global economy. Although the UCC Article 9 exists only in the United States as a matter of law, many other jurisdictions outside the U.S. have laws similar to UCC Article 9. Where to look, private versus public, and common law versus civil law are all questions that warrant careful consideration when transacting business abroad. It is also important to understand international judgments and tax lien equivalents to ensure proper search techniques and that searches comply with local privacy laws.

Due Diligence and OFAC Compliance: Do you know who your client is?

Since 9/11/01 executive orders, laws, statutes and regulations have been imposed that impact how governments, agencies, financial institutions, businesses, law firms and individuals do business. The primary objective of these laws has been to stem money laundering and anti-terrorism activities in the United States. It is important to understand these regulating activities and how they impact law firm management, lawyers, paralegals and compliance managers.

Webinar Presenter:

Karen is a UK qualified Attorney with a wide experience of trusts and company structuring. Nutley, NJ – August 30, 2010 – Continental Corporate Services Inc.(CCS) has reached agreement with three market  leaders to provide its clients with access to industry-leading virtual data room, compliance and due diligence solutions.

In making the announcement, Joseph Pope, CCS founder and CEO, said that “CCS was started 13 years ago to support law firm and corporate legal departments with the most responsive, flexible and efficient service levels available. Today, these same performance standards have guided us in identifying service partners who share these principals and who are recognized as innovative leaders in their respective market spaces.”

  • The CCS Data Room will be powered by The BMC Group, a leading provider of virtual data room services to the legal, corporate and financial markets for restructuring, litigation support and corporate compliance management.  Pope explained that The BMC Group was selected because “its  rooms are the most simple, fast and secure way to share and manage  information,” allowing instant access to shared information anytime, anywhere.  He added that the BMC Group Data Room application is hosted by Rackspace, the industry leader in secure, scalable and high performance IT hosting.  Rackspace was awarded the coveted Hosting Partner of The Year three times by Microsoft and has been recognized by Gartner for its industry leadership.
  • CCS Business License Solutions will help clients identify and secure required permits and licenses anywhere in the United States. “We are pleased to be working directly with Business Licenses LLC, to meet multiple client needs, from identifying and securing licenses to license validation and audit and gap analysis and renewal filing services,” Pope explained.  “In partnership with the Business Licenses team of professional researchers and processors, CCS will support its clients with customized licensing solutions, tailored to specific needs, at federal, state, county and municipal governments throughout the US,” he said.
  • CCS Court Record Retrieval Services offers fast, reliable and economical document retrieval. “In conjunction with CLAS Information Services, CCS will service law firm litigation practice groups and corporate legal departments with 24 hour coverage for most jurisdictions. And to simplify the fee structure fees will be charged by the case, not per document,” Pope explained. “There are no hidden fees. In fact, the first 50 pages are sent via PDF at no charge,” he said.
